What is the minimum share capital required for a Lithuanian UAB?
Under Lithuanian law, the minimum statutory share capital for an *Uždaroji akcinė bendrovė* is €2,500. This capital must be deposited into an accumulation bank account prior to registration, and becomes fully accessible for normal commercial operations once the company is officially registered. Note that if you intend to apply for a Business Residence Permit (TRP), total company equity must be at least €28,000.
Does having a Lithuanian company entitle me to European residency?
Simply incorporating a UAB does not automatically grant a residence permit. However, actively running the company and satisfying the statutory criteria under Article 45 of the Law on the Legal Status of Aliens (€28,000+ equity, 6 months operational readiness, local workforce guidelines) qualifies foreign shareholders and directors for a renewable 2-year Temporary Residence Permit (TRP).
Can foreign nationals be 100% sole shareholders and directors?
Yes. Lithuanian legislation allows 100% foreign ownership. A non-EU citizen can serve as both the sole shareholder and the sole Managing Director (*Generalinis direktorius*). There is no requirement for local Lithuanian resident co-directors or nominal shareholding.
How does VAT (PVM) registration work in Lithuania?
Lithuanian VAT (PVM) registration is mandatory once domestic sales exceed €45,000 within 12 consecutive months, or when acquiring goods from other EU Member States exceeding €14,000. Voluntary VAT registration can be completed immediately upon incorporation for cross-border and B2B European trading operations.
